These Terms & Conditions (“Terms”) govern your access to and use of Adpala (“the Service”), operated by Fluse B.V. (“Fluse”, “we”, “us”), a company registered in the Netherlands. By creating an account or using the Service, you agree to these Terms.
1. The Service
Adpala is a budget automation tool for advertisers. With your authorization, it reads data from connected advertising platforms (such as Meta and Google), evaluates rules you configure, and adjusts campaign budgets and statuses on your behalf.
2. Eligibility and accounts
You must be at least 18 and able to enter into a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.
3. Connected platforms
To use Adpala you connect one or more advertising accounts and grant the access needed to read metrics and apply changes. You confirm that you are authorized to connect those accounts and to let Adpala act on them. Your use of each platform remains subject to that platform’s own terms, and you agree to comply with them. You may revoke Adpala’s access at any time.
4. Automated changes and your responsibility
Adpala makes budget and status changes based on the rules and guardrails you configure. You are responsible for your rules, targets, and guardrails, and for reviewing the results. While guardrails (such as minimum/maximum budgets and maximum change limits) are designed to keep changes within bounds you set, you remain responsible for your advertising spend and outcomes.
5. Acceptable use
You agree not to:
- Use the Service unlawfully or in violation of any platform’s terms;
- Attempt to access accounts or data you are not authorized to access;
- Interfere with, disrupt, or reverse engineer the Service;
- Resell or provide the Service to third parties without our written consent.
6. Fees
Where the Service is offered for a fee, the applicable pricing and billing terms are set out in your order or subscription. Fees are payable as agreed, and unpaid amounts may result in suspension.
7. Intellectual property
Adpala, including its software, design, and content, is owned by Fluse B.V. and protected by law. We grant you a limited, nonexclusive, nontransferable right to use the Service under these Terms. Your data remains yours.
8. Disclaimer
The Service is provided “as is” and “as available”, without warranties of any kind to the extent permitted by law. We do not warrant that the Service will be uninterrupted or error free, and we do not guarantee any particular advertising performance or business result.
9. Limitation of liability
To the maximum extent permitted by law, Fluse B.V. is not liable for any indirect, incidental, or consequential damages, or for lost profits or ad spend. Our total liability arising from the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or to protect the Service. On termination, your data is handled as described in our Data Deletion Policy .
11. Changes to these Terms
We may update these Terms from time to time. We will update the “Last updated” date above and, for material changes, notify you through the Service or by email. Continued use after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the Netherlands, and disputes are subject to the jurisdiction of the competent courts of the Netherlands, unless mandatory law provides otherwise.
